Terms of Service

These terms govern your use of vigilon.io and the Vigilon monitoring service, including its dashboard, APIs, SDKs, and MCP server (the “Service”). Vigilon is operated by Cimply Tech, based in Québec, Canada.

By creating an account or using the Service, you agree to these terms. If you use the Service for a company or another organization, you confirm that you have authority to accept these terms for it. In that case, “you” means that organization.

The Service is intended for business and professional use. Please also read our Privacy Notice, which explains how we handle personal information.

The Service

Vigilon is under active development. We may add, change, or remove features as the product develops, and the Service may occasionally be interrupted. We may also limit access to pre-release features or end an early-access program.

Any trial, free-access period, or preview feature will be described when it is offered. Unless we say otherwise, preview features come without a service-level commitment.

Support channels vary by plan. Unless we agree otherwise in writing, support does not include a guaranteed response or resolution time.

Your account

You must be old enough to enter into a binding contract where you live and must provide accurate account information.

You are responsible for activity in your account and workspace, including activity by people you invite. Keep your sign-in credentials and API keys secure. If you believe an account or key has been compromised, email legal@vigilon.io promptly.

Your applications and telemetry

You keep ownership of the telemetry you send to Vigilon. You give Cimply Tech permission to host, process, transmit, and display that telemetry only as needed to provide, secure, maintain, and improve the Service.

You are responsible for deciding what your applications send and for having the right to send it. Configure your instrumentation to avoid unnecessary personal information. Do not send passwords, authentication secrets, payment-card data, government identification numbers, or health information.

We retain telemetry for the period shown for your plan and then delete it. Vigilon is a monitoring tool, not a system of record, so keep your own copies of anything you need to preserve.

Usage limits

Plans may limit requests, spans, projects, team members, retention, or other features. If you reach a limit, we may restrict ingestion or access until the limit resets or you change plans. We will show you any overage rate before overage charges apply.

Coding agents and MCP

You can connect coding agents and other third-party tools to Vigilon through the MCP server or API. A connected tool can access data using your permissions. You are responsible for choosing and configuring those tools, protecting the credentials you give them, and reviewing what they do with data they retrieve. Third-party tools are governed by their own terms and privacy practices.

Plans, billing, and cancellation

The price, billing interval, and limits for your plan are shown before you subscribe. Paid subscriptions renew automatically for the same interval until cancelled. Stripe processes payments. Prices are in US dollars and exclude applicable taxes.

You can manage or cancel a paid subscription through the billing portal. Cancellation takes effect at the end of the current paid billing period, and you will not be charged for a later period. Payments already made are non-refundable unless the law requires a refund or we say otherwise when you subscribe.

If we charge you but cannot provision or provide the Service, we will refund the affected charge.

We may change plan prices for a future billing period. We will give the account owner at least 30 days’ notice before a price increase applies to an existing subscription.

Our intellectual property

Except for your telemetry and third-party or open-source components, Cimply Tech owns the Service, including its software, design, and documentation. You may use the Service while these terms are in effect. Our open-source SDKs are governed by the licences that accompany them.

Vigilon and its logo belong to Cimply Tech. These terms do not give you permission to use our name or branding.

Suspension and termination

You may stop using the Service at any time. You can delete projects in their settings and request deletion of your workspace and account by emailing legal@vigilon.io.

We may suspend or terminate access if you materially breach these terms, create a security risk, do not pay amounts due, or use the Service unlawfully. We may also discontinue the Service. We will give reasonable notice when the circumstances allow it, but we may act immediately when needed to protect the Service or others.

If we discontinue a paid Service for reasons unrelated to your breach, we will refund any prepaid fees covering the unused portion of your subscription.

When an account ends, we handle the information associated with it as described in our Privacy Notice. Provisions that are meant to continue after termination, including those about ownership, liability, and disputes, will continue to apply.

Disclaimers

Vigilon helps you investigate software in production, but it will not detect every error, outage, security issue, or performance problem. You remain responsible for operating, securing, and backing up your applications.

The Service depends on third-party infrastructure and may be affected by outages or events outside our reasonable control.

Unless your plan details or a separate signed agreement say otherwise, the Service is provided “as is” and “as available,” without a service-level commitment. To the extent the law allows, Cimply Tech disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the extent the law allows, Cimply Tech will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, business opportunities, or data, arising from the Service or these terms.

To the extent the law allows, Cimply Tech’s total liability for claims arising from the Service or these terms will not exceed the greater of the amount you paid for the Service in the 12 months before the event giving rise to the claim and CAD $100.

These limits do not apply to liability that cannot legally be excluded or limited. Under Québec law, for example, they do not limit liability for intentional or gross fault, or for bodily or moral injury.

Indemnity

You will indemnify Cimply Tech against third-party claims and reasonable legal costs resulting from telemetry you were not entitled to send, unlawful use of the Service, or a material breach of the acceptable-use rules. We will notify you promptly of any claim.

Changes to these terms

We may update these terms as the Service or the law changes. We will post the new version here and update the date above. If a change materially affects an existing paid subscription, we will notify the account owner by email or in the Service before it takes effect. Changes made for legal or security reasons may take effect sooner. If you do not agree to an update, you must stop using the Service and cancel your subscription.

Governing law

These terms are governed by the laws of Québec and the federal laws of Canada that apply there, without regard to conflict-of-law rules. The courts of Québec will have jurisdiction over disputes relating to the Service or these terms, unless applicable law requires otherwise.

General

These terms, together with the plan details shown when you subscribe and any separate agreement we sign with you, are the entire agreement about the Service. If there is a conflict, a separate signed agreement controls, followed by the plan details and then these terms.

If part of these terms is unenforceable, the rest remains in effect. A delay in enforcing a term is not a waiver. You may not transfer these terms without our written consent. Cimply Tech may transfer them as part of a sale or reorganization of the business.
